Technocraft Ventures IPO: The Real Test Is Cash-Backed EPC Execution

Executive view

Technocraft Ventures is best analysed as an execution-and-cash-conversion story, not as a generic “infrastructure” bet. A water and public-infrastructure EPC company can compound quickly when its order book converts to work, margins remain intact and government/customer collections stay controlled. It can also look optically cheap while cash is trapped in receivables, retention money and disputed project claims. The underwriting question is therefore simple: will reported profit translate into free cash flow through a full project cycle?

The fresh component deserves more attention than the OFS. Fresh capital can support working capital, debt reduction or capacity; OFS is a shareholder liquidity event. Neither is inherently good or bad, but an investor should not confuse them.

Business-quality analysis

The upside comes from a public-capex tailwind and the potential operating leverage of larger project execution. Market materials report FY26 revenue/PAT near INR 347 crore/INR 43.3 crore, up from roughly INR 227 crore/INR 19 crore in FY24. If verified in the RHP, that would represent a meaningful scale-up and an approximately 12.5% FY26 net margin.

However, EPC accounting requires scepticism. Revenue can be recognised as work progresses, while cash can arrive much later. Project profitability can also be revised by changes in design, site conditions, customer approvals, commodity costs or subcontractor performance. An order book is valuable only when it is executable on acceptable economics and collectible on acceptable terms.

What to inspect in the RHP

  • Order book: value, geography, top customers, unexecuted portion, average execution period and cancellation/variation clauses.
  • Cash conversion: three-year CFO versus PAT; trade receivable days; unbilled revenue; retention money; advances received; and bad-debt provisioning.
  • Margins: project-level gross-margin stability, raw-material pass-through, subcontractor exposure and warranty/defect liability.
  • Balance sheet: debt maturity, non-fund limits, guarantees, contingent liabilities and working-capital funding cost.
  • Governance: related-party transactions, customer/vendor overlap, litigation and project claims.

Valuation framework

Do not annualise a short growth burst. Start from verified trailing EPS, calculate post-issue equity shares, and compare P/E only with businesses having similar project mix, payment cycles and return characteristics. A premium can be earned if the company has repeat customers, high conversion visibility and cash-backed margins. A discount is warranted if revenue is concentrated, receivables age or operating cash flow persistently trails PAT.
